摘要:

本文以投资者-国家争端解决(ISDS)机制改革为研究对象,基于《中欧全面投资协定》(CAI)谈判,系统比较中欧双方在该机制改革中的立场差异与共识,探索契合中国利益的ISDS机制方案,为中国参与全球投资治理提供理论与实践支撑。第一部分梳理ISDS机制的历史演进与核心特征。该机制经历了从外交保护、国家-国家争端解决(SSDS)到独立国际仲裁的制度转型,1965年《华盛顿公约》缔结及ICSID设立标志其正式诞生。ISDS机制实现了投资争端的“去政治化”,为投资者与东道国提供了中立公正的法律平台,并强化了国际投资规则的执行力。然而,由于脱胎于商事仲裁模式,该机制存在忽视东道国公共利益、裁决缺乏一致性与可预见性、仲裁员专业性与独立性不足、程序成本过高等内生性缺陷,容易引起对其“正当性”的挑战。第二部分剖析现行ISDS机制的核心缺陷,并系统介绍全球三大改革路径。缺陷层面:仲裁庭片面强化投资者保护而压缩东道国规制空间;裁决不一致性破坏法律预期;仲裁员多重身份引发利益冲突;高昂的时间与费用成本加剧程序壁垒。改革路径层面:以美国为代表的渐进式改革主张优化现有规则;以欧盟为主导的系统式改革力推常设投资法庭制度(ICS);以巴西、南非等为代表的范式改革则摒弃现有机制,复归国内救济或国家间仲裁。第三部分聚焦中欧改革立场的共识与分歧。共识包括:双方均重视磋商、调解等替代性争端解决方式的运用,均强调仲裁员的专业资质与行为规范。分歧集中于五大核心议题:投资法庭常设性上,中国沿用临时仲裁庭而欧盟主张常设法庭;裁判者选任权利上,中国保留当事方指定权而欧盟由缔约国联合任命;上诉机制安排上,中国倾向多边常设且审查限于法律问题,欧盟推行双边且全面审查;程序透明度要求上,中国谨慎开放而欧盟主张全面公开;规制权条款明确性上,中国规定原则性条款而欧盟设置明确规则并纳入反滥诉机制。第四部分提出CAI框架下中国ISDS机制的具体方案。基于中国双向投资大国的利益格局,方案立足平衡投资者保护与东道国规制权、提升国际投资规则话语权两大核心立场。具体路径包括:设立投资争端预防机制,依托国内投诉协调机制构建制度化的预防体系;强化替代性争端解决方式的程序化,将磋商与调解作为仲裁前置程序;严格仲裁员资质与选任机制,借鉴《仲裁员行为守则》完善利益冲突规则;构建灵活上诉机制,在保留当事方选择权基础上探索与多边上诉机制的衔接;适度提高程序透明度,审慎评估欧盟高透明度要求;强化国家规制权,吸纳欧盟先予驳回、败诉方付费等反滥诉规则,实现投资者权利与公共利益的动态平衡。

  • This paper examines the reform of the Investor-State Dispute Settlement (ISDS) mechanism, systematically comparing the differences and common ground between China and the EU regarding this reform. Against the backdrop of the negotiations for the China-EU Comprehensive Agreement on Investment (CAI) and taking into account China’s dual role as both a capital-importing and capital-exporting country, the paper explores ISDS mechanisms that align with China’s interests, thereby providing theoretical and practical support for China’s participation in global investment governance.Part One traces the historical evolution and core characteristics of the ISDS mechanism. The mechanism has undergone an institutional transformation from diplomatic protection and State-to-State dispute settlement (SSDS) to independent international arbitration, with its formal establishment marked by the conclusion of the 1965 Washington Convention and the founding of the ICSID. The ISDS mechanism has “depoliticized” investment disputes, providing a neutral and impartial legal platform for investors and host countries, and strengthening the enforceability of international investment rules. However, as it evolved from the commercial arbitration model, the mechanism suffers from inherent flaws, including a disregard for the host country’s public interest, a lack of consistency and predictability in awards, insufficient professionalism and independence among arbitrators, and excessively high procedural costs, triggering a “crisis of legitimacy” on a global scale.Part Two analyzes the core flaws of the current ISDS mechanism and systematically introduces the three major global reform pathways. Regarding the flaws: arbitration tribunals unilaterally prioritize investor protection while restricting the host state’s regulatory discretion; inconsistent rulings undermine legal certainty; arbitrators’ multiple roles create conflicts of interest; and high time and financial costs exacerbate procedural barriers. Regarding reform pathways: the incremental reform approach, led by the United States, advocates optimizing existing rules; the EU-led systemic reform advocates for a permanent investment court system (ICS); and the paradigm shift proposed by Brazil, South Africa, and others rejects the existing mechanism in favor of a return to domestic remedies or inter-state arbitration.Part Three focuses on the common ground and differences between China and the EU regarding reform positions. Areas of consensus include: both sides attach importance to the use of alternative dispute resolution (ADR) methods such as consultation and mediation, and both emphasize the professional qualifications and conduct standards of arbitrators. Disagreements center on five core issues: regarding the permanence of investment tribunals, China favors ad hoc arbitration panels while the EU advocates for a permanent court; regarding the right to appoint adjudicators, China retains the parties’ right to designate arbitrators, whereas the EU proposes joint appointment by the contracting states; regarding appellate mechanisms, China leans toward a multilateral, permanent system with review limited to legal issues, while the EU promotes a bilateral system with full review; Regarding procedural transparency, China adopts a cautious approach to openness, while the EU advocates for full public disclosure; regarding the clarity of regulatory authority provisions, China stipulates general principles, whereas the EU establishes explicit rules and incorporates mechanisms to prevent abuse of process.Part Four proposes specific measures for China’s ISDS mechanism under the CAI framework. Given China’s position as a major player in two-way investment, the proposal is grounded in two core principles: balancing investor protection with the host state’s regulatory authority, and enhancing China’s influence in shaping international investment rules. Specific pathways include: establishing an investment dispute prevention mechanism by building an institutionalized prevention system based on domestic complaint coordination mechanisms; strengthening the procedural framework for alternative dispute resolution (ADR) by making consultation and mediation mandatory preconditions for arbitration; strictly regulating arbitrator qualifications and selection mechanisms, and refining conflict-of-interest rules by drawing on the Code of Conduct for Arbitrators; establishing a flexible appeal mechanism, exploring integration with multilateral appeal mechanisms while preserving the parties’ right to choose; moderately increasing procedural transparency, while prudently assessing the EU’s high transparency requirements; and reinforcing state regulatory authority by incorporating EU anti-abuse rules—such as preliminary dismissal and the “loser pays” principle—to achieve a dynamic balance between investor rights and the public interest.
