本篇论文从土地入股的公司和合作社谈起,在现行法律条件下对土地承包经营权入股合作社的法律行为进行分析,并得出土地入股专业合作社是农村土地流转的可行途径,从而得出在城乡统筹的背景下,发展土地入股合作社无疑是解决“三农”问题一个成功的选择。合作社的定义是什么、合作社是不是法人,合作社的显著特征是什么、合作社与集体所有制、与公司有什么不同、合作社的财产所有权及土地承包经营权的性质也是本文阐释的问题。 合作社是市场经济的产物,是市场竞争中分散的劳动者为改善生活或生产条件,谋取和维护自身利益、增强竞争力量、改善自身地位,在自愿出资、自由联合、民主管理、互助合作基础上而建立起来的经济组织。它是以劳动联合为基础的经济关系,生产资料、资金等生产要素通过合作占有,为联合劳动提供物质前提。合作经济和集体经济是在不同标准下的两个不具有必然关联性的概念。合作社与公司一样都是法人,他们的最大不同之处在于合作社的对内关系上,即合作社的内部和合作社系统的制度结构上与公司不一样。 我国一直以来将合作经济视为集体经济。《农民专业合作社法》确立了合作社的法人地位。合作社既不是企业法人,也不同于社会团体法人,而是介于二者之间的中间法人。 我国为了确保土地的保障性目标的实现,对农村土地承包经营权的流转进行了诸多限制。从我国现有法律规定来看,土地承包经营权入股合作社是适应经济发展,有序推动农村土地流转的一种制度创新。土地承包经营权入股合作社的存在具有一定的法理基础,从土地承包经营权入股的公司和合作社的比较来看,后者更符合法律规定。从发展土地入股合作社的实践来看,具有一定的生命力。 土地承包经营权是物权,在入股合作社后,导致了土地所有权、承包权、经营权的“三权分立”,更有利于土地流转。 土地入股合作社需要建立和完善土地入股制度、“三位一体”的保障制度、在清算时的处置制度、合作社发展基金或储备金制度、以及出资置换和反垄断豁免等制度。

  • This paper makes a study of the way solve the “three rural”. It begins with the land company of the shares and the cooperatives,and then draws a conclusion that professional stake in the cooperative development of the land is a successful choice to solve the “three rural” issue under the current law and the conditions of contracted land management rights for shares of the cooperative legal analysis .What’s the definition of cooperatives? Whether the cooperative is a legal or not?What’s the significant feature of cooperative?What’s the difference between the cooperatrive and the coolective ownership,the companies.the property rights of the cooperative and the character of the legal right to contractual operation of land investment is also explained in this article. Cooperative is a economic organizations of the dispersed workers to improve their living conditions or production, and seek to safeguard their own interests, and enhance competition and improve their own status, on a voluntary funded,free association,democratic managenment,and mutual assistance. It’s a product of market economy. It is a joint of labor-based economic relations, the means of production, capital and other factors of production through co-ownership, it’s also joint work to provide material for the premise. Economic cooperation is different from collective economy in the different standards .cooperatives and companies are both legal persons, but the inner part of the cooperative and the structure of the cooperative system is different from the company. We have been regarding the economic cooperation as the collective economy in china“. professional farmers cooperatives law”establishes the legal status of cooperatives. Cooperative enterprises are neither legal nor different groups legal community, but between them. In order to ensure that our land-protection goals, the rural land contract operation rights transfer was subject to numerous restrictions. From my points of view of the existing law, the right to land contractual management stake in the cooperative is a new system to adapt to economic development, promote 2 the orderly flow of rural land. Land contract rights stake in the existence of cooperatives have some legal basis, from the comparison of the land contract operation rights of the shares and cooperative, the latter is more suitable for the law. The development of the cooperative shares from the land of the practice, It has a certain vitality. Land contract rights are property rights, Shares in cooperatives, it raised the“separation of powers” of the ownership of land, contract rights, and the rights of the running.It gives more conducive to the transfer of land. Land shares cooperatives need to establish the land shares regime,the security system of the “three-in-one”,the clearing system at the time of disposal, the cooperative development fund or reserve system, as well as the replacement investment and anti-trust immunity system and so on and improve them.
