一直以来,由于房地产具有价值相对稳定的特点,房地产抵押贷款被认为是商业银行风险相对可控、贷款利率高、贷款收益期长的贷款品种,因而大小银行,包括外资银行,对于以房地产作为抵押物的贷款业务都非常重视。但是,并非有了房地产做抵押物,就可以保障商业银行的债权安全。商业银行的房地产抵押也面临着种种法律风险。本文以珠江三角洲地区的商业银行为视角,通过资料索检、实地访谈等方式对该地区部分商业银行房地产抵押法律风险进行分析。珠江三角洲地区毗邻港澳,是全国改革开放的先行地区,也是高度外向型经济区域。改革开放三十年来,珠江三角洲地区经济迅速发展,经济总量猛增,成为民营资本、境外资金和跨国公司投资最为活跃的地区之一,也是当前中国综合竞争力最强的地区之一,对整个广东和全国经济发展发挥了巨大的龙头作用。珠江三角洲地区银行业金融机构发展一直走在广东乃至全国前列,为经济持续快速发展提供了强大的资金保障。其中,房地产抵押贷款对经济的拉动作用功不可没。与此同时,珠江三角洲地区商业银行房地产抵押贷款的法律风险问题也逐步突显出来。分析和应对珠江三角洲地区商业银行房地产抵押法律风险的问题具有一定的现实意义。本文试图了解商业银行房地产抵押过程中影响其债权安全的法律风险,并思考对于这些风险的防范措施。全文约3万字,分为四个部分: 第一部分,引言。介绍珠江三角洲地区商业银行的发展概况。这部分主要对珠江三角洲地区商业银行机构建设、存贷规模等发展情况进行概述,指出以此地区为视角进行调查分析可以对商业银行房地产抵押的风险进行较全面的了解。 第二部分,商业银行房地产抵押贷款的涵义及法律特征。本部分首先介绍商业银行房地产抵押贷款的涵义以及对商业银行的重要意义,然后介绍房地产抵押贷款的法律特征,指出房地产抵押贷款若出现法律风险,将会对商业银行造成巨大影响。 第三部分,商业银行房地产抵押存在的主要法律风险。通过资料检索、实地访谈等方式对珠江三角洲主要商业银行进行调查,指出其日常经营中在房地产抵押方面所存在的主要法律风险。本文认为主要的法律风险有: 2 第一,包括建筑工程款优先受偿,公民居住权优先保护,租赁权优先行使,税款优先征稽在内的各类优先权所带来的法律风险;第二,房地产抵押登记过程中,登记部门登记不规范对抵押权实现可能造成的法律风险;第三,国有土地使用权抵押中的法律风险;第四,房地产抵押权的实现对商业银行的法律风险。 第四部分,商业银行房地产抵押法律风险防范。在这一部分,笔者结在这一部分,笔者结合调查中所了解到的珠江三角洲地区各家商业银行的情况,从立法、执法合调查中所了解到的珠江三角洲地区各家商业银行的情况,从立法、执法以及商业银行内部管理这三个方面试述商业银行房地产抵押法律风险的以及商业银行内部管理这三个方面试述商业银行房地产抵押法律风险的防范。笔者认为,应加强立法来规范优先权的行使。同时,对于防范。笔者认为,应加强立法来规范优先权的行使。同时,对于有关法律有关法律规范应尽快制定实施细则,以便在实践中更好的执行。商业银行在目前的规范应尽快制定实施细则,以便在实践中更好的执行。商业银行在目前的法律制度尚未完善的情况下,应加强内部管理,以最大限度的防范房地产法律制度尚未完善的情况下,应加强内部管理,以最大限度的防范房地产抵押中的法律风险。抵押中的法律风险。 由于掌握资料不全,调查范围有限,文中数据和观点难免偏颇,敬请各位老师批评指正。

  • With the traits of relative stable value for real estate, real estate mortgage loans, all along, are regarded as types of loans for commercial banks with characteristics of relative controllable risks, high interest rate loans and long period of proceeds of loans. Banks of all sizes, including foreign banks, pay great attention to loaning service tak ing real estate as collaterals. But the collaterals taken as real estate can not fully guarantee the safety of liabilities’ claim for commercial banks. And the mortgages by real estate for commercial banks are facing kinds of legal risks, too. Based on the perspectives of behaviors of commercial banks in Pearl River Delta, this paper is making an analysis on legal risks for real estate mortgages of some commercial banks in the region through reference indexing and on site surveys. The Pearl River Delta, adj acent to Hong Kong and Macao, is the first reform and opening area as well as a highly export oriented district. The economy in the Pearl River Delta, ever since thirty years of “reform and opening”, has been developing quickly with rapid increase of total economic output, becoming one of the most active regions for investment by private capital, foreign capital and multinational capital. It’s also one of the regions of the strongest comprehensive competitiveness in China, playing a big role in the lead on economic development in Guangdong and all over China. The development of financial agency of banking industry in The Pearl River Delta has always been leading ahead in Guangdong even in all the country, supplying forceful capital warrant in sustainable ra pid development of economy. Among which, real estate mortgage loans is pulling economy greatly. At the same time, the risk of real estate mortgage in commercial banks in the region is becoming gradually prominent. It’s been of practical significance by ana lyzing and tackling legal risks of real estate mortgage in commercial banks in The Pearl River Delta. This paper is trying to penetrate the legal risks of the safety of liabilities’ claim affected in the course of real estate mortgaging in commercial banks and reflect on precaution measures of commercial banks against those risks in the legal framework. The whole test has about 30000 words, being divided into four parts. In foreword, the development of commercial banks in The Pearl River Delta i s introduced. This part is giving a comment on the establishment of commercial banking agencies as well as the size of deposits and loans, pointing out the perspectives of survey and analysis in the area may have a comparatively complete understanding on t he risks of real estate mortgage in commercial banks. In part two , the intension and the legal attributes of real estate mortgage loans in commercial banks are stated. This part, first of all, introduces the intension of real estate mortgage ,and then i ntroduces the important significance of mortgage loans especially real estate loans for commercial banks and large effect may be caused to commercial banks if there’re legal risks occurring in real estate mortgage loans. Then the legal attributes of real e state mortgage loans in commercial banks and the proportion of kinds of legal risks confronted in The Pearl River Delta are also commented. In part three, the main legal risks of real estate mortgage in commercial banks are mentioned. Through referen ce indexing and on site visiting, main commercial banks in The Pearl River Delta are surveyed and potential or occurring legal risks of real estate mortgage in daily operation pointed out. The main legal risks: first, including priority for repayment of th e construction section, the priority right to protect citizens, leasing right to exercise a priority, and legal risks brought out by various kinds of priorities constituted by that of collecting tax ; Second, in the course of real estate mortgage registrat ion, the potential legal risks may be caused by non standard registration against the realization of mortgage rights ; Third, the state owned land use rights in the legal risk of collateral; Fourth, the realization of real estate mortgage right to legal ri sks in commercial banks. In part four , the guard against the risk of real estate mortgage is given. In view of the category of this paper for investigation, the building of the legal system is not to be discussed here.
