国有企业因其天然的政治属性,在国际市场竞争中往往享有各种优惠,易产生市场扭曲的风险,从而成为了国际经贸协定的重点规制对象。随着中国国有企业参与国际经济活动程度不断加深,国有企业国际规制的新发展对我国国企的约束作用也越发显著。《全面与进步跨太平洋伙伴关系协定》(Comprehensive and Progressive Agreement for Trans-Pacific Partnership,以下简称CPTPP)中的“高标准”国有企业规则代表了国有企业国际规制的发展趋势。在这一背景下,例外条款可为受约束方提供一定的自由政策空间,体现了对缔约方利益的平衡,对作为CPTPP的潜在加入方的我国在未来能达到CPTPP国有企业规则的“严格要求”尤其重要。本文除了引言和结语之外,共分为四个部分:第一部分对CPTPP国有企业规则例外条款作简要概述。首先本文从性质和外延的角度介绍了CPTPP国有企业规则例外条款的内涵,然后分析了例外条款产生的原因,并对其法理进行了检视以论证其正当性与合理性,最后对CPTPP国有企业规则例外条款的体系架构进行了梳理。第二部分聚焦于CPTPP国有企业章节例外条款的文本内容。首先对第17章的例外条款进行分类并讨论了其规制方式以及规制目的,然后介绍了CPTPP附件中有关国有企业规则的国别例外的整体情况,由此引出对既有成员获得的国别例外的具体分析。在第二节中按照国有企业的行政层级分别梳理了已有成员作出的国别例外,并选取了越南和新加坡作为代表研究了其设置例外的目的与标准。第三部分在前述基础上对CPTPP国有企业例外条款进行了评析。首先本文肯定了例外条款相较于以往的国有企业例外规则具有一定突破性。在随后的第二节中,从文本本身以及文本适用上分析了例外条款的不足,体现在例外条款设置模式导致其包容性有限以及存在适用上的困境。第四部分着墨于CPTPP国有企业例外条款为我国带来的启示。首先本文分析了国有企业例外条款对我国国有企业在未来参与国际市场竞争时会带来的挑战,明确了应当积极对接CPTPP国有企业规则的立场,并提出根据例外条款,将争取国别例外作为谈判的重要抓手,同时结合我国国情提出,我国国有企业改革时应将竞争政策纳入改革实践,需从落实完善公平竞争政策与完善国有企业界定标准两个方向着力,最后围绕加入CPTPP谈判时我国如何利用国有企业例外条款提出体系构建的建议。

  • Because of the natural political attributes, state-owned enterprises often enjoy various preferences when participating competition in international market and are prone to the risk of market distortion, thus becoming a key target of regulation in international economic and trade agreements. With the deepening participation of Chinese state-owned enterprises in international economic activities, constraints that the new development of international regulation of state-owned enterprises might brought has become more and more significant for of Chinese state-owned enterprises.The "high standard" SOE rules in CPTPP represent the development trend of international regulation of SOEs. In this context, the exception clauses can provide a certain degree of free policy space for the bound party, reflecting a balance of the interests of the parties, and is particularly important for China, as a potential accession to the CPTPP, to be able to meet the "stringent requirements" of the CPTPP SOE rules in the future.This paper is divided into four sections in addition to the introduction and conclusion:The first part gives a brief overview of the exception clauses of CPTPP SOE rules. Firstly, this paper introduces the connotation of the CPTPP state-owned enterprise exception clauses from the perspectives of nature and extension, then reviews the jurisprudence of the exception clauses in order to prove its legitimacy and reasonableness, and finally composes the system structure of the exception clauses CPTPP state-owned enterprise rules.The second part focuses on the textual content of the exceptions in the State-Owned Enterprises chapter of the CPTPP. It first categorizes the exceptions in Chapter 17 and analyzes the manner and purpose of their regulation, and then the country-specific exceptions made by existing members are organized according to the administrative level of the State-owned enterprises, and Vietnam and Singapore are selected as representatives to study the purpose and criteria of their exceptions.The third part analyzes the CPTPP SOE exceptions’ progress and limitations on the basis of the foregoing. First of all, this article affirms that exception clauses have a certain breakthrough compared with the previous exception rules for state-owned enterprises. The second section analyzes the shortcomings of the exception clause in terms of the text itself and its application, which is reflected in the limited inclusiveness of the exception clause due to the mode of setting up the exception clause, as well as the dilemma of its application.The fourth part focuses on the inspiration brought by the CPTPP SOE exception clauses for China. First of all, this paper analyzes the challenges brought by exception clauses of state-owned enterprises to China's state-owned enterprises in the future competition in the international market, makes clear the position that should be actively docked with the rules of CPTPP state-owned enterprises, and proposes that exception clauses be used as an important hand of negotiation, and at the same time combines with China's national conditions and puts forward the proposal that China's state-owned enterprises should incorporate the fair competition mechanism into the reform practice, and need to focus on two directions of implementing the improvement of the fair competition policy and improving the classification standards of state-owned enterprises. At the same time, in light of China's national conditions, it is proposed that the reform of China's state-owned enterprises should incorporate the fair competition mechanism into the reform practice, which needs to be implemented and improved from the implementation of the fair competition policy and the improvement of the classification standard of state-owned enterprises.
