摘要:

本文以按份共有人优先购买权的司法适用为研究对象。除引言和结语外,全文共分为五个部分。第一部分在总结当前有关对按份共有人优先购买权的法律规定的基础上,理清关于该制度目前法律上的空白,进而结合司法实践情况归纳出该制度在司法适用中存在的问题。如权利性质问题、适用范围问题、效力问题等。第二部分论证了按份共有人优先购买权的制度价值和权利属性。本文首先罗列了优先购买权的价值作用,然后在此基础上分析论证了按份共有人优先购买权的制度价值。在按份共有人优先购买权的权利属性方面,本文在分析当前关于优先购买权性质的几种观点的基础上,从按份共有人优先购买权的制度价值的视角出发,经过论证得出按份共有人优先购买权的性质为形成权。如此为以下按份共有人优先购买权的主体、客体、适用范围的界定,权利行使时同等条件的认定及权力行使的法律效力的认定提供了理论基础和研究视角。第三部分对按份共有人优先购买权适用的主客体、适用对象及其他适用范围进行了界定。本文以按份共有人优先购买权的制度价值为出发点和探讨的视角,分析认为按份共有人优先购买权的客体的范围应限定在特殊动产、不动产。而对于《物权法》第101条中的“份额”一词在特殊情形下应作扩张解释,既包括财产份额,也应包括共有财产本身。对于《物权法》第101条规定的“转让”一词本文认为应将其界定为“有偿转让”,赞同《物权法司法解释(一)》第9条的界定。另外,本文还对按份共有人优先购买权是否能适用某些特殊情形也作了相应的界定。第四部分对按份共有人优先购买权行使时的同等条件进行了分析和认定。本文在对《物权法司法解释(一)》第10条的规定进行理解的基础上对优先购买权“同等条件”的判断标准进行进一步的扩展探析。除了该条列举的共有份额的转让价款、价款的支付方、价款的履行期限三个判断标准外,本文对特殊情形下优先购买权行使的同等条件也进行了界定。第五部分分析和论证了按份共有人优先购买权行使的效力。按份共有人优先购买权的效力分为对内效力和对外效力。对内效力即在转让人与权利人间成立买卖合同。本文主要探讨了按份共有人优先购买权的对外效力。对外效力包括对共有份额物权变动的影响和对出卖人与第三人间成立的合同的效力的影响两个方面。经过论证,本文认为法定的按份共有人优先购买权是否具备对抗第三人的效力不能一概而论,而应区别情形不同分析认定。但其权利的行使对出卖人与第三人间合同的效力无影响。

  • In this paper, the author applies the judicial application of the right of preemption of the co owner as the object of study. In addition to the introduction and conclusion, the full text is divided into five parts.In the first part, on the basis of summarizing the current legal provisions on the right of pre - ownership, the paper clarifies the current legal gaps and then summarizes the problems existing in the judicial application of the system. Such as the nature of the problem, the scope of the problem, the effectiveness of the problem.In the second part, the author demonstrates the system value and the right attribute of the right of preemption of the CO owner. Firstly, this paper lists the value function of the preemptive right, and then analyzes the system value of the right of preemption of the CO owner. In according to copies of human rights attribute of preemptive right, based on the analysis of the current about the character of the preemption of several views, starting from the share system value of the right of priority in purchasing perspective, through the demonstration that according to copies of the nature of the right of priority in purchasing is right of formation. So for the following at a total body, the right of priority in purchasing the object and scope of the definition, identification and the exercise of power legal right to exercise the same conditions and provide the theoretical basis and research perspective.In the third part, the author defines the subject and object, the object of application and other applicable scope of the right of priority. In this paper, according to the value of the system of preemptive right of CO owner as the starting point and the angle of view, the author thinks that the scope of the object of the right of priority of the co owner should be limited to the special movable property and real estate. For the "property law" in the 101st "share" in the special circumstances of the expansion should be interpreted, including the share of property, should also include the common property itself. For "property law" 101st provisions of the "transfer" of the word that should be defined as "paid transfer", agree with the "property law judicial interpretation (I)" of the ninth definition. In addition, this paper also makes a corresponding definition of whether the right of first refusal can be applied to some special cases.In the fourth part, the author analyzes and finds out the same conditions for the exercise of the right of preemption. Based on the understanding of the provisions of article tenth of the judicial interpretation of the property law, this article makes a further expansion of the judgment criteria of "equal conditions". In addition to the total share of the listing of the transfer price, the payment side of the price, the price of the performance of the three criteria, this article under the special circumstances of the exercise of the right to purchase the same conditions are also defined.The fifth part analyzes and demonstrates the effectiveness of the exercise of the preemptive right of the CO owner. The effect of the preemptive right of the joint owner is divided into internal effect and external effect. The internal effect of the transferor and the right to set up a sales contract. In this paper, the author discusses the external effect of the preemptive right of the CO owner. The external effect includes two aspects: the influence of the change of the common share of the real right and the influence on the validity of the contract between the seller and the third party. After the argument, this paper argues that the legal rights of the right to purchase the right to buy a total of third parties can not be generalized. However, the exercise of the right has no effect on the validity of the contract between the seller and the third party.
