社会企业制度视角下我国商会的监管路径探析

摘要：

商会作为市场经济的自然产物,是商事主体应对市场与政府双重失灵的理性选择。然而,我国现行商会监管制度正面临着由自身异质性与经费来源引起的监管困境,不但难以实现其监管目标,反而阻碍商会制度功能的发挥和商会的良性发展。社会企业作为应对市场与政府双重失灵的新兴社会治理工具,与商会具有相同的价值取向与制度功能,是将社会目的和商业运营模式有效结合的独特组织形式。以社会企业制度为理论基础,对商会进行类型化分析,然后从商会登记管理、内部治理、审计、司法诉讼等维度建立社会多元化的商会监管体制。

  • As the outcome of the market-oriented economy, the Chamber of Commerce is a rational choice of commercial subjects to copy with market failure together with government failure. However,the current supervision system of the Chamber of Commerce in China is confronted with supervision dilemmas such as heterogeneity and source of funds, which makes it difficult to achieve supervision goals, but also hinders the sound functioning and development of the Chamber of Commerce. The social enterprises, which are an emerging social governance tool to deal with market failure together with government failure, have the same value orientation and institutional function as the Chamber of Commerce. And the social enterprises are types of organization that effectively combine social purpose and business operation mode. Therefore, based on the social enterprises institution, this study develops supervision system of the Chamber of Commerce in China, including registration management, internal governance, auditing and judicial proceedings.
