《中华人民共和国民法总则》第172条沿袭合同法第49条,规定了无权型、越权型和授权延续型三类表见代理。该规定过分依赖传统路径,承袭了传统类型划分上的模糊性,导致司法适用不确定。为了明确第172条的适用,理论上应当具体"无权型"表见代理构造,认定其为与一般表见代理完全不同的主观授权型表见代理。如果可能,在以后修法时,应按照基本理论与逻辑设定这一条文。在合理分类下将常见表见代理类型提炼,同时通过兜底条款囊括非典型的表见代理类型。

  • Follow Article 49 of the Contract law,General Principles of the Civil Law article 172 specifies 3 categories of apparent agency,lacking agency authority,acting beyond his agency authority and whose agency authority was extinguished. Overdepending on the traditional path,this specification is too vague in categorization as to be uncertain in judicial application. To make it explicitly,we shall embody the construct of the apparent agency of lacking agency authority,and affirm it a different apparent agency of subjective authority. If possible,when we change the law,we shall refine the apparent agency categorization under the reasonable categorization according to basic theory and logic,and include those atypical apparent agencies through the save clause.
